Terms of Service

Definitions

For the purposes of these General Terms and Conditions of Use, terms beginning with a capital letter, whether used in the singular or plural, shall have the following meaning:

  • Subscription: refers to a paid PackPro+ or PassOne+ subscription intended exclusively for Users, which may be subscribed to on their behalf by the Operator, for a Boks Parcel Box concluded for an indefinite period and allowing the User to access, during the term of said Subscription, specific Services identified at the URL https://www.boks.app/products/abonnement-service or https://www.boks.app/products/bokslink;

  • Application: refers to the computer application, accessible via a downloadable mobile application from a Device, allowing access to the Services subject to the pairing of the Application with the Parcel Box;

  • Parcel Box: refers to a connected locker installed by Boks or by the User at a dedicated location, linked to the Application and Services and accessible to one or more User(s) subject to having performed its pairing under the conditions of these T&Cs, in order to have Goods delivered by any carrier. Where applicable, the Parcel Box may be shared with other Users;

  • Boks: refers to the company Boks SAS, a simplified joint-stock company with a share capital of €10, whose registered office is located at 8 rue Réaumur, 75003 Paris, registered in the Paris Trade and Companies Register under number 991 499 971, represented by Adrien Oksman acting as President;

  • T&Cs: refers to these General Terms and Conditions of Use;

  • Access Code: refers to i) a single-use code generated by a User, ii) a temporary fixed-use code generated by a User, or iii) a permanent-use code generated by a User. Codes are generated randomly using the Services, allowing a third party to access the Parcel Box to deposit and/or withdraw Goods;

  • Account: refers to the personal space of a User accessible only with Identification Elements allowing them to access and benefit from the Services;

  • Identification Element: refers to the login identifier (the User's email address) and the password provided by the User allowing them to access their Account;

  • Manager: refers to the person designated at the installation site by the Users of the Parcel Box or the Operator to be the primary point of contact between Boks and the Users (notably to ensure the interface between Users and Boks for any technical and/or operational problems) and to ensure custody of the emergency backup key (notably for blocked doors, dead batteries, Bluetooth failure – non-exhaustive list), which the potential Manager expressly accepts by accepting these T&Cs;

  • Goods: refers to the item(s) not appearing in the list in Article 10.1 of these T&Cs that the User passes through the Parcel Box, either by receiving them or sending them, within the size and/or weight limits listed in Article 10.2 of the T&Cs;

  • Operator (of the Parcel Box): refers to the natural or legal person who has requested Boks for the installation of the Parcel Box under a separate agreement and who may subscribe to the Services for their own needs (as a User) and/or those of the Users;

  • Privacy Policy: refers to the policy for the use of Users' personal data implemented by Boks and accessible at the address https://www.boks.app/pages/mentions-legales, which forms an integral part of these T&Cs;

  • Services: refer to the functionalities and services as determined in Article 11 made available to Users and accessible from the Application and the Parcel Box;

  • Device: refers to any mobile terminal allowing access to and use of the Application but also access to a Parcel Box and having at least a Bluetooth connection and a minimum version of Android and iOS;

  • User: refers to any legal person or any natural person of legal age and capacity, having an Account and a Device, authorized by the Operator, and using the Services.


Legal Information

The Application and Services, as well as the Parcel Boxes described in these general terms and conditions of use, are published, designed, operated, and provided by Boks, whose full contact details are available at https://www.boks.app/pages/mentions-legales.

The Application is hosted by Heroku, a subsidiary of Salesforce. Boks has taken out "civil liability" insurance with the company Axa.


Purpose of these General Terms and Conditions of Use

The purpose of these T&Cs is to define the conditions of use, both free and paid, of the Application, the Parcel Boxes, and the Services.


Claims – Technical Assistance

Boks customer service can be contacted by telephone at 01 87 65 05 87 from Monday to Friday from 9 a.m. to 6 p.m., by email at info@boks.app, or via a form available on the website or on the User's Application account.

In the event of a claim by the User, they must contact Boks customer service providing the following information: (i) their customer number, (ii) the address of their residence, (iii) the number of their Parcel Box, (iv) the subject of their claim, (v) the delivery tracking number of their goods as well as the name of the carrier.


Scope, Acceptance, and Modification of the T&Cs

The purpose of the T&Cs is to define the conditions under which the User may create an Account on the Application, access the Parcel Box, consult and use the Application, and benefit from the Services.

Access to and/or use of all or part of the Parcel Box and/or the Application and/or the Services implies acceptance without restriction or reservation of these T&Cs by the User as well as the Privacy Policy.

These T&Cs may be subject to modifications at any time and without prior notice. The applicable conditions are those in force and accessible on the Application on the date of access to the Application and/or the Parcel Box by the User.


Duration

Access to the Services, the Application, and the Parcel Box is provided to the User for an indefinite period. Subscription to a Subscription by a User is done from the Application or within the framework of a separate contract between the Operator and Boks.

Subscriptions, reserved for Users, are concluded for a firm term of one (1) year, and sums paid in this respect are definitively acquired by Boks, including in the event of early termination of the Subscription.

Subscriptions will be automatically renewed for an identical duration, unless terminated by the Operator at the latest one (1) month before the expiration of the current Subscription term, it being specified that termination will only take effect at the end of the current Subscription.

Thus, if the Operator does not intend to renew or wishes to terminate their Subscription, they must contact customer service by telephone or email within the timeframe mentioned above. A confirmation email will be sent to the Operator within forty-eight (48) hours of their request.


Creation of an Account on the Application and Access to the Application

Creation of an Account on the Application

The User must create their Account on the Application (or on a dedicated back-office for Managers), then log in using the Identification Elements provided during account creation.

  • Natural Persons: Must be at least 18 years old, complete all mandatory fields, and provide the Parcel Box number they wish to access.

  • Legal Persons: Must be legally constituted, have a representative with full powers, not be in a state of insolvency/bankruptcy, complete all mandatory fields, and provide the Parcel Box number.

The User guarantees that their data is accurate and up to date. Boks reserves the right to suspend or terminate access if provided data is false or inaccurate. A User may only create one account but may be registered on multiple Parcel Boxes.

Identification Elements

Identification Elements are strictly personal and confidential. The User is solely responsible for their use. In case of loss or theft, the User must inform Boks immediately. Boks may temporarily suspend access if it has legitimate reasons to believe security has been breached.


Price

Services are free, except for those reserved for Subscription holders. The Subscription Price is indicated in Euros including all applicable taxes (VAT). Payment is made by annual direct debit. Boks reserves the right to modify prices, with modifications taking effect upon renewal.


Right of Withdrawal

Free services can be terminated at any time. Services reserved for Subscription holders are intended exclusively for Users for whom no right of withdrawal is applicable (B2B/Professional context).


Prerequisites

Excluded Goods

The User warrants they will not use the Parcel Box for:

  • Goods requiring a signature upon delivery;

  • Dangerous or environmentally harmful goods (explosives, radioactive materials, etc.);

  • Illicit goods (prohibited by law);

  • Regulated items (tobacco/alcohol to minors, prescription drugs);

  • High-value items (jewelry, currency, bank cards, or items worth more than €200);

  • Live animals or human remains;

  • Tenders or exam papers;

  • Asbestos or lead-based items.

Parcel Box Limits

The User warrants that the Goods have dimensions and weight compatible with the Parcel Box provided.


Description of Services

Services include: access to the App, generation of Access Codes, Bluetooth opening, delivery notifications, activity history, and a dedicated messaging system for users sharing the same box.


Use of the Parcel Box

Users generate temporary Access Codes to provide to carriers. Providing an Access Code constitutes a liability waiver for any incident occurring after delivery into the Box. Users are responsible for activating/deactivating codes. As the Box may be shared, users are responsible for ensuring they only retrieve their own Goods.


Messaging

Users can contact other users of the same Box. Boks has a right of access to messages to ensure compliance. Users agree not to:

  • Post illicit, hateful, or pornographic content;

  • Harass other users;

  • Spam or attempt hacking;

  • Promote unauthorized contests or third-party content.


Availability of Services

Boks strives for 24/7 availability but reserves the right to interrupt services for maintenance. Boks is bound by an "obligation of means" (best efforts) regarding availability.


Warranties – Liability

User Warranties

The User agrees to use the service in good faith, not to use unauthorized software to affect the system, not to commercialize access, and not to create multiple accounts if a previous one was deleted for breach of T&Cs.

Boks Warranties

Boks is a technical intermediary. It is not responsible for the relationship between users and carriers, nor for the delivery or condition of the Goods.

Limitation of Liability

Boks is not liable for:

  • Unauthorized use of the Application or Box;

  • Network failures (electricity, internet, force majeure);

  • Indirect damages (loss of profit, loss of data, loss of Goods);

  • Condition or legality of the Goods.

Crucial Clause: If Boks' liability is established, total compensation is capped at the amount invoiced for the current subscription year. Any legal action must be initiated within one (1) year of the event causing the damage.


Suspension and Termination

Boks may suspend or terminate access immediately for breach of T&Cs or non-payment. Users may terminate free services at any time. If Boks terminates for convenience (e.g., end of contract with the Operator), pro-rata refunds of Subscriptions may be issued.


Intellectual Property

Boks owns all intellectual property related to the Application, Services, and branding. Any unauthorized reproduction or "framing" is prohibited. Users are prohibited from extracting data from the Boks databases (scraping).


Personal Data

Personal data is processed in accordance with the Privacy Policy: https://www.boks.app/pages/mentions-legales.


Miscellaneous

  • Proof: Digital correspondence (email/SMS/App logs) shall serve as valid proof between parties.

  • Entire Agreement: These T&Cs constitute the entire agreement between Boks and the User.

  • Severability: If any clause is found invalid, the remaining clauses remain in effect.

  • Governing Law: These T&Cs are governed by French Law.

  • Disputes: Amicable resolution shall be sought first. If the user is not a consumer, jurisdiction is expressly granted to the courts within the jurisdiction of the Paris Court of Appeal.
