PREAMBLE
These General Terms of Use (hereinafter the "GTU") of the company BOKS (hereinafter "BOKS") - whose full contact details are available by clicking here: https://www.boks.app/pages/mentions-legales - are intended to define the conditions of use of the website www.boks.app (hereinafter the "Site") published and operated by BOKS.
The conditions for the sale of products and services are defined in BOKS' General Terms of Sale, available by clicking here https://www.boks.app/pages/conditions-generales-de-vente.
The conditions of use of the Services are defined in BOKS' General Terms of Use, available by clicking here https://www.boks.app/pages/conditions-generales-dutilisation.
In the event of a contradiction, BOKS' General Terms of Use shall prevail over BOKS' General Terms of Sale, which shall prevail over these General Terms of Use of the BOKS Site.
BOKS has taken out a "civil liability" insurance policy with the company ORUS, located at 14, avenue du Général de Gaulle, 94160 Saint-Mandé.

Article 1. DEFINITIONS
For the purposes of these GTU, the capitalized terms, whether used in the singular or plural, have the following meaning:
BOKS: BOKS, a simplified joint-stock company with a share capital of 10 €, whose registered office is located at 8 RUE REAUMUR 75003 PARIS, registered with the Trade and Companies Register of Paris under number 991 499 971, represented by Pinsk acting and having the necessary powers as president.
GTU: refers to these General Terms of Use;
User: refers to all Internet users, visitors to the Site, whether they are Customers (within the meaning of the GTS accessible by clicking here https://www.boks.app/pages/conditions-generales-de-vente) or not;
Products: refers to the products marketed by BOKS from the Site;
Services: refers to the free services accessible from the Site and designated in Article 3 hereof;
Site: refers to the Website published by the company BOKS, accessible in particular via the URL address www.boks.app;
Article 2. SCOPE OF APPLICATION, ACCEPTANCE AND MODIFICATION OF THE GTU
The purpose of the GTU is to define the conditions under which Users may consult the Site and benefit from the Services.
Access to or use of all or part of the Site and/or the Services implies the acceptance without restriction or reservation of these GTU by the User.
As these GTU may be subject to modifications, the applicable conditions are those in force and accessible on the Site on the date of access to the Site by the User.
Article 3. DESCRIPTION OF THE SERVICES
BOKS makes available to Users, through its Site, access to a certain number of Services intended in particular to enable them to benefit from editorial content relating to the products marketed by BOKS.
In addition, it is recalled that the Site also allows Customers to acquire Products and Services under the conditions of the General Terms of Sale (accessible by clicking here https://www.boks.app/pages/conditions-generales-de-vente) and of BOKS' General Terms of Use (available by clicking here https://www.boks.app/pages/conditions-generales-dutilisation).
Article 4. ACCESS TO AND AVAILABILITY OF THE SERVICES
BOKS makes its best efforts to make its Services available 24 hours a day and 7 days a week, independently of maintenance operations on the said Services and/or the Site.
However, BOKS reserves the right to interrupt access to all or part of the Services for maintenance and/or improvement work. These interruptions of the Services and/or the Site will, as far as BOKS is able, be notified to the User in advance, in particular by broadcasting an alert message on the Site.
In case of emergency, BOKS nevertheless reserves the right to suspend, partially or totally, for a reasonable period, all or part of the Services and/or the Site in order to carry out any required technical operation. These interruptions of the Services and/or the Site may not give rise to any compensation in favor of the User, including if these interruptions occur during the process of purchasing Products by the Customer.
In this respect, BOKS is bound by an obligation of means.
Article 5. WARRANTIES – LIABILITIES
By accessing the Site, the User declares, warrants and undertakes to:
- access and use the Site and/or the Services in good faith, in a reasonable manner, not contrary to the terms of these GTU;
- not use devices or software other than those provided by BOKS intended to i) affect or attempt to affect the proper functioning of the Site and/or the Services ii) or to extract, modify, consult, even in buffer or temporary memory, or for individualized use, all or part of the Site and/or the Services and/or the Products;
- not access and/or use the Site and/or the Services and/or the Products for unlawful purposes and/or with the aim of causing harm to the reputation and/or image of BOKS and/or Users, or more generally to infringe the rights, in particular intellectual property rights, of BOKS and/or third parties, including Users;
- not directly or indirectly market the Products, the Services and/or access to the Services and/or the Site and/or the Products;
- not reuse or exploit all or part of the Site and/or the Services it contains, in particular for commercial and/or collective purposes and/or for personal purposes in a form and/or a medium not authorized by BOKS and/or the Users;
- not reproduce or represent all or part of the Site and/or the Services for private purposes beyond the legal exceptions provided, in particular by the Intellectual Property Code, or with a view to direct or indirect marketing, in particular to third parties;
- not restrict access to and use of the Site and/or the Services;
- not modify, including in buffer or temporary memory, any mention or element of the Site and/or the Services;
- ensure that the use of the Site and/or the Services neither affects nor compromises the stability, security and quality of the Site and/or the Services, the networks, the bandwidth, or the infrastructures of BOKS, of other Users and/or of third parties;
- not contravene the provisions of Articles 323-1 to 323-7 of the Criminal Code punishing so-called "hacking" practices;
In the event of a breach of any of these obligations, without this list being exhaustive, the User is informed that BOKS shall have the right to refuse or suspend, unilaterally and without prior notice, access to all or part of the Services and/or the Site and to suspend, where applicable, access to their Account.
Article 6. ADVERTISING
BOKS reserves the possibility of broadcasting advertising or promotional messages on the Site, including within the framework of the Services.
Article 7. LIMITATION OF LIABILITY
The User is solely responsible for the use they make of the Site, as well as of the Services they access from the Site.
BOKS may under no circumstances be held liable in the context of proceedings brought against the User who has been guilty of a non-compliant use of the Site and/or the Services.
In this regard, the User acknowledges and accepts that they will personally handle any claim or proceedings brought against BOKS, as a result of their non-compliant use of the Services and/or the Site.
The Site may contain hypertext links referring to third-party websites.
In this regard, given the evanescent nature of the content that may be broadcast on the websites to which the said hypertext links point, BOKS' liability may not be engaged in the event that the content of the said third-party websites contravenes the legal and/or regulatory provisions in force.
In any event, BOKS may not be held liable:
- in the event of unavailability of the Services for reasons such as the failure of the public electricity network, the failure of cabled telecommunications networks, the loss of connectivity to the Internet network due to public or private operators, in particular of the User, for whatever cause, in particular strikes, storms, earthquakes or any other cause having the characteristics of force majeure;
- in the event of use of the Site and/or the Services by any User under conditions not compliant with the terms of these GTU or the GTS;
- within the limits of the legislation in force, for any indirect damage including in particular loss of profit, of data or any other loss of intangible property, and this even if BOKS has been informed of the potential for such damage, which may arise (i) from the use or the impossibility of using the Site and/or the Services (ii) following access to the Site and/or the said Services by an unauthorized User.
BOKS may not be held liable for any malfunction of any nature whatsoever relating to the User's computer hardware as well as to their Internet access connection, when accessing the Site and more generally the Services.
More particularly, BOKS may not guarantee the User of the Services against the problems of access speed to the Site and/or the Services and/or buffering speed of the User's computer that they may encounter.
Article 8. FORCE MAJEURE
BOKS' liability may not be sought if the performance of one of its obligations is prevented or delayed due to a case of force majeure as defined by the case law of the French Courts and Article 1351 of the Civil Code, and in particular natural disasters, fires, malfunction or interruption of the telecommunications network or the electrical network.
Article 9. INTELLECTUAL PROPERTY
9.1. Copyright on the Site
BOKS is the holder or the licensee of the intellectual property rights of both the general structure of the Site and its content (texts, slogans, graphics, images, videos, photos, programs, Products and other content). Consequently, without prejudice to the provisions of Article 9.5, any representation, reproduction, modification, distortion and/or total or partial exploitation of the Site and/or the Services and/or the Products, by any process whatsoever and on any medium whatsoever, without the express and prior authorization of BOKS, is prohibited and constitutes acts of copyright infringement.
Likewise, any unauthorized exploitation of the Site and/or the Services and/or the Products engages the criminal and civil liability of the User on the basis of copyright infringement.
The User acknowledges and accepts that access to the Site and/or the Services and/or the Products made available by BOKS may not entail any assignment or concession of intellectual property rights (copyright in particular) and other personality rights (right to one's image, to respect for private life) for the benefit of the User.
Access to the Site and to the Services and Products is exclusively limited to the private and personal use of the User under the conditions and limits defined in these GTU.
9.2. Distinctive signs
The trademarks, logos, corporate names, acronyms, trade names, signs and/or domain names of BOKS and/or its commercial partners mentioned on the Site and/or the Products, made available by BOKS on the Site, constitute distinctive signs that may not be used without the express and prior authorization of their holder.
Any representation and/or reproduction and/or partial or total exploitation of these distinctive signs is therefore prohibited and constitutes trademark infringement, usurpation of corporate name, trade name and domain name, engaging the tortious civil liability of its author.
9.3. Hypertext links
The hypertext links accessible on the Site and/or within the framework of the Services, towards other websites and generally towards all resources existing on the Internet, may not engage BOKS' liability.
The User may under no circumstances set up hypertext links to deep pages of the Site, allowing access to the Services, by any technical process intended to bypass the Customer identification field or to carry out the harvesting of all or part of the content of the Services made available by BOKS.
The "framing" technique is prohibited, except with the express and prior authorization of BOKS.
9.4. Databases
The User irrevocably acknowledges that the Site and the Services, including the structure and/or the arrangement of the Products, are made up of one or more databases made available to Users by BOKS as producer of the said databases within the meaning of the provisions of Articles L.341-1 et seq. of the Intellectual Property Code.
Consequently, in accordance with the provisions of Article L. 342-1 of the same Code, the User refrains from carrying out:
- the extraction by permanent or temporary transfer of all or a qualitatively or quantitatively substantial part of the content of one or more of the databases accessible on the Site and/or the Services, including the structure and/or the arrangement of the Products, onto another medium, by any means and in any form whatsoever, including for the purposes of use or consultation by a medium and/or process(es) not authorized by BOKS;
- the reuse, by making available to the public all or a qualitatively or quantitatively substantial part of the content of one or more of the databases accessible on the Site and/or the Services, including the structure and/or the arrangement of the Products, in whatever form, including by a hypertext link, a medium and/or process(es) not authorized by BOKS;
- the constitution, publication, maintenance, updating, importation, exportation, making available to third parties, free of charge or for a fee, and participation in the aforementioned acts, of a competing database derived from all or part of one or more of BOKS' databases;
- the display on a screen by a process or medium other than those by which BOKS intends to disclose the Site and the Services, including the structure and/or the arrangement of the Products;
- generally, any extraction, use, storage, reproduction, representation or preservation, direct or indirect, partial or total, including in buffer or temporary memory, qualitatively or quantitatively substantial of the content of one or more of BOKS' databases, committed by one of the processes referred to above is strictly prohibited, including by a medium not authorized by BOKS.
9.5. Content of the Services
The User acknowledges and accepts that access to the Site and to the Services made available to them by BOKS may not entail any assignment or concession of intellectual property rights (copyright in particular) and other rights for their benefit, with the exception of those concerning those under the conditions and terms of the GTS and GTS.
The User acknowledges and accepts that the private and personal use granted to them by BOKS, in respect of access to its Services, excludes in particular access to the Services with a view to a collective use of its content, the reproduction, the representation, the resale, the exchange, the rental, the transfer to a third party, the modification, the adaptation, the correction, and this both free of charge and for a fee, of all or part of the Site, the Services, and their content.

Article 11. Miscellaneous provisions
11.1. Correspondence - Evidence
Unless otherwise specified in these GTU, the correspondence exchanged between BOKS and the User is mainly ensured by electronic mail.
Pursuant to Articles 1366 et seq. of the Civil Code, the User acknowledges and accepts that the information delivered by BOKS by electronic mail and/or by the Services and/or the Site shall be authoritative between them and BOKS.
Elements such as the moment of receipt or of transmission, as well as the quality of the data received, shall be authoritative as a priority as they appear on the aforementioned media, or as authenticated by BOKS' computerized procedures, unless the User provides written evidence to the contrary.
The evidential scope of the information delivered by the Site is that granted to an original within the meaning of a written paper document, signed by hand.
11.2. Entirety of the GTU
These GTU express the entirety of the obligations of BOKS and of the User relating to their object. The fact for one of the parties not to avail itself of a breach by the other party of any of the obligations referred to herein may not be interpreted for the future as a waiver of the obligation in question.
11.3. Partial Invalidity
In the event that one or more stipulations of these GTU are considered null, deemed unwritten or declared as such pursuant to a law, a regulation or following a decision of a competent jurisdiction having the authority of res judicata in the last resort, the other stipulations shall retain all their force and scope and shall remain fully applicable, unless the invalid stipulation(s) had a substantial character and their disappearance called into question the contractual balance.
11.4. Headings
In the event of difficulties of interpretation between any of the headings appearing at the head of the clauses of these GTU, and any of the clauses, the headings shall be declared non-existent.
Article 12. Applicable law and settlement of disputes
These GTU are subject to French law.
In the event of a dispute likely to arise in connection with these GTU, their interpretation and their consequences or with the acts supplementing or modifying them, the User shall approach BOKS in order to attempt to obtain an amicable solution. Any claim to BOKS must be made in writing.
In accordance with the provisions of Articles L.611-1 and R 612-1 et seq. of the Consumer Code concerning the amicable settlement of disputes: when the consumer has sent a written claim to the professional and has not obtained satisfaction or a response within a period of two months, they may submit their claim free of charge to the consumer mediator. The mediator must be seized within the maximum period of one year from the initial claim.

In the absence of an amicable settlement, any dispute to which the GTS may give rise shall be submitted to the competent French jurisdictions.
